EXTRACT OF BYLAWS OF THE 19TH ALA INF REGT, INC.
ARTICLE II - OBJECTIVES AND PURPOSES
The objectives and purposes of this organization are:
A. To recreate in historically accurate detail Companies of the Nineteenth Alabama Infantry Regiment, C.S.A., and Companies of the Forty-Second Indiana Infantry Regiment, U.S.A., including uniforms, accoutrements, weapons, and equipment, in order to educate and inform the general public of the roles of the Nineteenth Alabama Infantry Regiment and the Forty-Second Indiana Infantry Regiment in the American Civil War. Also to recreate in historically accurate detail civilians during the time period of the American Civil War, to include dress, equipment, tools, etc, read. to aid in their impressions, to better inform the general public of the hardships civilians coped with during the war.
B. To encourage and promote the study of the history of the American Civil War and particularly the history of the Nineteenth Alabama Infantry Regiment, 42nd Indiana Infantry Regiment and Civilian life. Through the presentation of lectures and living history exhibits at various public places including schools, parks, Civil War battle sites and museums.
C. To participate in historically accurate reenactments of various Civil War battles, and other such public displays, demonstrations, and/or lectures in order to educate and inform the general public. Emphasis will be given to the organization, history, tactics, uniforms, military procedure, drill, music, food, weapons and other equipment of the Union and Confederate Armies, in general, and the Nineteenth Alabama Infantry Regiment, C.S.A, and the Forty-Second Indiana Infantry Regiment, U.S.A., in particular.
D. To participate in historically accurate reenactments of various civilian roles during the Civil War and other such public displays, demonstrations, and/or lectures in order to educate and inform the general public.
E. To reflect the highest and best standards of and historical authenticity in the conduct, dress, grooming, and equipment of all members of this organization.
F. To provide honor guards and color guards in historically accurate Civil War uniforms and equipment for various patriotic and/or military ceremonies honoring American War Veterans, when requested by the sponsoring organization.
G. To at all times conduct the affairs of the organization within the laws of the United States of America, the laws of the State of Alabama, and within the limitations of the Articles of Incorporation and Section 501.C.(3) of the Internal Revenue Code.
ARTICLE VII - MEMBERSHIP AND VOTING RIGHTS.
A. The membership shall be divided into two classes as follows:
1. Class A membership subdivided into four grouping as defined in the following subparagraphs a. through d..
a. Class A "soldier" member: This shall be defined as a person meeting the requirements for membership and joining with the expressed intent to participate in the activities listed in Article II of these Bylaws in an historically accurate military role.
b. Class A "regular" member: This shall be defined as a person meeting the requirements for membership and who wishes to actively be associated with the Corporation and support the activities of the Corporation but who does not wish, or who is unable to participate in the active field events such as reenactments and living history demonstrations.
c. Class A "Civilian" member: This shall be defined as a person meeting the requirements for membership and joining with the express intent to participate in the activities listed in Article II of the By-laws in an historically accurate civilian role.
d. Class A "Family" member: This shall be defined as two or more people of the same household who meet the requirements for membership and join with the expresses intent to participate in the activities listed in Article II of these by-laws in historically accurate military and/or civilian roles. Dues for family members shall be assessed at 100 percent for the first family member and 50 percent for each additional member. The various members of a "family membership" will be classified as either "soldier", "regular" or "civilian".
2. Class B membership.
This class of membership shall be defined as certain honorary memberships that may be granted from time to time by the Board of Directors, including but not limited to, spouses and children of Class A members, and individuals who, in the judgment of the Board of Directors, are deserving of membership in the Corporation.
B. Voting Rights.
1. Only Class A members whose dues are current shall have voting privileges in matters pertaining to Corporate business. In the absence of any Class A member at any occasion of voting, other than the Annual Business Meeting, his or her vote may be cast by a family member who is an honorary member of the Corporation, provided the Class A member has furnished instructions in writing as to how his or her vote should be cast. Honorary members shall otherwise have no voting rights but shall be accorded all other rights and privileges of membership in the Corporation.
2. If a Class A member is unable to attend the Annual Business Meeting of the Corporation, he or she may vote on any matter of Company business by delivering his or her written proxy to another Class A member who will attend and vote the proxy as directed by the absent member. This provision shall be in effect for the Annual Business Meeting only.
3. The provisions for proxy voting as outlined above shall not apply to any meeting of the Board of Directors.
ARTICLE VIII - QUALIFICATION FOR MEMBERSHIP
A. Any person may apply for membership in this organization provided the following requirements are met:
1. The individual is a citizen of the United States.
2. The individual is of good moral character.
3. The individual is not now, and never has been a member of any organization or group having as its purpose or one of its purposes the overthrow by force or violence of the Government of the United States.
4. The individual is not now, and never has been a member of any so called "radical" or "supremacy" groups, such as KKK or Black Panthers.
B. A candidate for membership in this organization shall be granted Class A membership status when the following requirements are met:
1. The candidate is interviewed by a member of this unit and receives a recommendation for membership.
2. Submits a completed application form along with annual dues to the Company Clerk.
3. Is approved for membership by a majority vote of the Board of Directors.
C. Within one year of admission, Class A soldier members must meet the following additional requirements for continued membership in the organization:
1. Obtain required uniforms and equipment.
2. Demonstrate to the Commanding Officer proficiency in the proper Infantry drill movements according to Hardee�s Light Infantry Tactics.
D. Within one year of admission, Class A civilian members must meet the following
additional requirements for continued membership in the organization:
1. Obtain required clothes, shoes, eyewear, and appropriate camp equipment.
2. Demonstrate appropriate portrayal of civilian behavior according to known etiquette of the period.
E. Membership in the Nineteenth Alabama Infantry Regiment is to be considered a privilege and no contract rights of any kind shall accrue to any individual as a result of his or her membership in this organization.
F. With the exception of the Officers and Directors elected by the membership at the annual business meeting, all terms of membership shall expire as of December 31st. Membership applications along with annual dues shall be submitted by all members prior to January 31st. The Board of Directors shall meet after January 1st and no later than January 31st and will review all applications and will either approve or disapprove. Any application that is disapproved shall require a two thirds vote of the full Board of Directors and shall be for good and sufficient reasons that may include, but are not limited to, any action listed in Section B, Article X of these By-Laws. All such decisions of the Board of Directors shall be final. Any former member who is denied re-admission shall be notified promptly in writing by the President and all privileges of membership shall expire as of the date of that letter.
G. Any application that is received after the January Board of Directors meeting shall be considered at the next meeting. All membership applications approved by the Board of Directors shall be retroactive to January 1st, and all members shall continue to have all privileges of membership, voting rights, etc., until specifically notified under the provisions outlined in paragraph E above that their application has been disapproved.
ARTICLE X - RULES OF CONDUCT
A. The following rules shall serve as the minimum standards of conduct expected of all members of this Corporation.
1. Officers and NCOs shall perform their duties commensurate with the office and rank held.
2. Officers and NCOs shall be treated with the military courtesy due their rank and title.
3. The Company shall maintain all standards of military order and tents will be pitched in a Company row.
4. Troops shall stand picket duty and perform other camp duties as required.
5. Civilians will be encouraged to camp in designated civilian camping areas as appropriate to each impression..
B. Cause for dismissal from the Corporation shall include, but is not limited to, the following actions:
1. Fighting among members.
2. Disorderly conduct or drunkenness at a unit function.
3. Disregard for safety rules.
4. Failure to obey reasonable orders of elected or appointed Officers and NCOs pertinent to the well-being of the Corporation.
5. Actions that tend to embarrass or discredit the Corporation.
6. Failure of a Class A soldier and civilian member to satisfy the additional requirements for membership as stipulated in Article VIII, Section C and D.
